We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Client Responsibilities

As a client of Waltsco Digital, you agree to:

  • Provide accurate and complete information about your business and Amazon account
  • Maintain access to your Amazon Seller Central account
  • Provide necessary permissions for our team to access your account
  • Respond promptly to requests for information or approvals
  • Ensure compliance with Amazon's Terms of Service and all applicable laws
  • Make timely payments for services rendered

4. Payment Terms

4.1 Service Fees

Our service fees are outlined in your service agreement or proposal. Fees may be structured as monthly retainers, project-based pricing, or performance-based compensation, as mutually agreed upon.

4.2 Billing and Payment

Unless otherwise specified in your service agreement:

  • Monthly services are billed in advance
  • Project-based services may require a deposit before work begins
  • Payments are due within 15 days of invoice date
  • Late payments may be subject to interest charges of 1.5% per month

4.3 Refund Policy

Due to the nature of our services, we generally do not offer refunds for services already rendered. However, if you are dissatisfied with our services, please contact us to discuss potential resolutions.

5. Intellectual Property

5.1 Client Materials

You retain all rights to your brand assets, product information, and other materials you provide to us. You grant us a limited license to use these materials solely for the purpose of providing our services to you.

5.2 Our Materials

We retain all rights to our proprietary methods, strategies, software, and other intellectual property developed or used in providing our services. Upon full payment, you receive a license to use the deliverables created specifically for you.

5.3 Amazon Platform

All clients must comply with Amazon's intellectual property policies and respect the intellectual property rights of others. We are not responsible for any intellectual property disputes that may arise on the Amazon platform.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement. This includes business strategies, financial information, customer data, and operational details.

We will not disclose your confidential information to third parties except as necessary to provide our services or as required by law.

7. Performance and Results

7.1 Performance Expectations

While we employ industry best practices and work diligently to achieve the best possible results for your Amazon business, we cannot guarantee specific outcomes, including but not limited to:

  • Specific sales volumes or revenue increases
  • Exact advertising return on investment (ROI)
  • Particular search rankings or organic visibility
  • Specific conversion rates

7.2 Amazon Platform Changes

We are not responsible for changes to Amazon's platform, policies, or algorithms that may affect your business performance. We will adapt our strategies accordingly, but cannot be held liable for changes outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, Waltsco Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our services
  • Any conduct or content of any third party on the Amazon platform
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your transmissions or content

Our total cumulative liability to you for all claims arising from or related to our services shall not exceed the total amount of fees paid by you to us in the six months preceding the claim.

9. Termination

9.1 Termination by Client

You may terminate our services by providing written notice at least 30 days before the end of your current billing cycle. Upon termination, you are responsible for payment for all services rendered up to the termination date.

9.2 Termination by Waltsco Digital

We reserve the right to terminate our services for any reason with 30 days' written notice. We may terminate services immediately if you breach these terms, violate Amazon's policies, or engage in fraudulent activities.

9.3 Effect of Termination

Upon termination, we will provide a transition period to transfer account access and materials back to you. All outstanding payments become immediately due upon termination.

10. Dispute Resolution

10.1 Informal Resolution

We prefer to resolve disputes informally. If you have any concerns, please contact us first so we can attempt to resolve the issue.

10.2 Binding Arbitration

If we cannot resolve a dispute informally, both parties agree to resolve any claims through binding arbitration in Calgary, Alberta, Canada, rather than in court.

10.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes through our website or via email. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
